Schneider Electric agrees to acquire PTC, owner of the Vuforia AR platform

Schneider Electric and PTC announced a definitive acquisition agreement on October 5 that values PTC's equity at about $22.6 billion. PTC's portfolio includes Vuforia industrial AR, but the transaction is pending and neither company announced a Vuforia product roadmap change.

Event date · Definitive agreement announced October 5, 2026; closing expected by the third quarter of 2027, subject to approvals and other conditions

Confirmed facts

The confirmed transaction

Schneider Electric and PTC said they have signed a definitive agreement under which Schneider Electric will acquire PTC for $205 per share in cash. The companies put PTC's equity value at approximately $22.6 billion and the implied enterprise value at approximately $23.7 billion.

PTC's board has recommended that shareholders approve the transaction. The companies expect completion by the third quarter of 2027, subject to shareholder and regulatory approvals and other customary closing conditions. Until those conditions are satisfied, this is a signed agreement rather than a completed acquisition.

Where augmented reality fits

PTC's software portfolio includes Vuforia, a suite used for industrial augmented-reality applications such as remote expert assistance, visual work instructions, training and cross-platform AR development. Schneider Electric says the broader transaction is intended to connect product design, engineering, data management, operations and energy systems.

The acquisition announcement discusses industrial software and AI at portfolio level. It does not promise a new Vuforia headset, change Vuforia pricing, name supported-device additions or describe how Vuforia products would be organized after closing.

Limits and open questions

Schneider Electric projects cost and revenue synergies for the combined business, but those are forward-looking estimates rather than realized results. The release does not separate projected benefits for augmented reality or publish Vuforia revenue, user growth or headset deployment figures.

Customers and developers should not infer immediate licensing, support or product changes from the agreement. Any effect on Vuforia will depend on the transaction closing and on later integration decisions that the companies have not yet announced.

Why it matters · Analysis

Ownership of a major industrial AR software stack by a large energy and automation company could eventually connect spatial instructions and remote assistance more closely with equipment, operational data and enterprise workflows. The scale of the transaction makes the strategic context notable, but it is not evidence that Schneider Electric will expand, reduce or otherwise change Vuforia. Near-term product conclusions would be premature.
